Terms of Service

You must be at least 18 years old and able to form a binding contract to use Tidna. By registering, you confirm you meet these requirements and that all information you provide is accurate.

Tidna is a matching and communication platform. We help founders present their traction and documents in an investor-ready format, connect them with investors whose stated thesis fits, and provide tools to message and report to investors.

Tidna is not:

• An investment advisor, broker-dealer, or fund manager. We don't recommend, structure, or execute investments.
• A guarantee of funding. Being listed on Tidna, connecting with an investor, or reaching a high readiness score does not guarantee that any investor will invest, or that any specific amount will be raised.
• A party to any investment agreement founders and investors may reach. Any deal, term sheet, or transaction is strictly between the founder and investor involved — Tidna is not a party to it and takes no fee or equity from it.
• A verifier of every claim on the platform. Where we display a "bank-verified" badge, that reflects data pulled from a connected bank account via Mono; anything not verified is self-reported by the founder, and investors should conduct their own due diligence regardless.

You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at snumari@tidna.co if you suspect unauthorized use. We reserve the right to refuse registration or suspend an account that we reasonably believe was created with false information.

Some features require payment — currently, a one-time ₦99,000 fee to unlock visibility to Tidna's matched investor pool, and a one-time ₦5,000 fee to refresh bank-verified traction data. Payments are processed by Paystack; by paying, you also agree to Paystack's own terms governing that transaction.

All fees are non-refundable, including where a founder is not subsequently matched with, contacted by, or funded by any investor. Pricing may change for future purchases; it will not change retroactively for fees you've already paid.

You retain ownership of the content you upload or enter — pitch decks, financial documents, traction data, and messages. By submitting it, you grant Tidna a license to store, process, and display it as necessary to operate the platform and to the investors or founders you choose to share it with.

You're solely responsible for the accuracy of the information you provide, including revenue, traction, and financial figures. Investors rely on this information to evaluate opportunities. Knowingly providing false or materially misleading information is a violation of these Terms and may result in account termination.

You agree not to:

• Misrepresent your identity, affiliation, or the accuracy of any data you submit.
• Use the platform to harass, spam, or send unsolicited communications outside its intended messaging features.
• Attempt to access another user's account, or data you weren't given permission to view.
• Circumvent or interfere with the platform's security, rate limits, or access controls.
• Scrape, resell, or redistribute data obtained through Tidna without the consent of the party it belongs to.
• Use the platform for any unlawful purpose.

Tidna integrates with third-party providers to operate certain features: Mono for bank account connections, Paystack for payments, Resend for email delivery, and Supabase and Netlify for hosting and infrastructure. Your use of features that rely on these providers is also subject to their respective terms. We're not responsible for outages, errors, or actions of these third-party providers that are outside our control.

Founders can generate a shareable data room link to send to investors. You're responsible for who you share that link with — anyone who has it can view the modules you've chosen to share. Tidna is not responsible for consequences of a link being shared or forwarded beyond who you intended.

The Tidna platform, including its design, code, and branding, is owned by Tidna Limited and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Tidna's name, logo, or trademarks without our prior written consent.

Tidna is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We don't warrant that the platform will be uninterrupted, error-free, or secure at all times, or that any information displayed by another user (founder or investor) is accurate or complete.

To the maximum extent permitted by law, Tidna and its officers, employees, and affiliates won't be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including lost profits or lost investment opportunities. Where liability can't be excluded, our total liability to you for any claim arising from these Terms or your use of Tidna is limited to the amount you paid us in the twelve months preceding the claim.

You agree to indemnify and hold Tidna harmless from any claim, loss, or damage (including reasonable legal fees) arising from your violation of these Terms, your content, or your interactions with other users of the platform.

We may suspend or terminate your account if you violate these Terms, provide false information, or engage in conduct that harms other users or the platform. You may close your account at any time by contacting us. Sections of these Terms that by their nature should survive termination (including fees already owed, intellectual property, disclaimers, and limitation of liability) will continue to apply.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of Tidna will be subject to the exclusive jurisdiction of the courts of Nigeria.

We may update these Terms as Tidna's features change. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
